These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”) and Tasman LLC, a Delaware limited liability company, with its principal place of business at 601 Brickell Key Dr, Ste 901, Miami, FL 33131, United States (“Tasman”, “we”, “us”, “our”), governing your access to and use of the UaiAva platform available at uaiava.ai and any related services (collectively, the “Service”).
By creating an account, subscribing to a plan, or otherwise accessing the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. The Service
UaiAva is a software-as-a-service (SaaS) platform that provides AI-powered tools for generating, editing and exporting video creatives, AI avatars, voice synthesis, marketing copy and related digital assets. The Service is provided on a subscription basis and usage is measured in video credits and feature limits associated with each plan.
2. Eligibility & Account
You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. You agree to provide accurate, current and complete information during registration and to keep this information up to date. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.
3. Subscription Plans & Billing
The Service is offered through monthly subscription plans priced in U.S. Dollars (USD). Current plans include Starter ($69/month), Creator ($129/month) and Pro ($299/month), each with its own monthly allowance of video credits and features. Plans, pricing and features are described on the pricing page and may be updated from time to time with prior notice.
Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. By subscribing, you authorize us and our payment processor (Stripe) to charge your designated payment method on a recurring basis. Credits are allocated at the start of each billing period and do not roll over to subsequent periods unless otherwise stated.
You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of the current billing period; you retain access until that date.
4. Refund Policy
We offer a limited refund window as described in our Refund Policy. In summary, you may request a full refund within seven (7) days of your initial purchase, provided that no video credits have been consumed during that period. Once credits are used, the underlying compute costs are incurred and the plan becomes non-refundable.
5. Acceptable Use
You agree not to use the Service to:
- violate any applicable law, regulation or third-party right;
- generate content that is unlawful, defamatory, harassing, hateful, sexually explicit, violent, or that infringes intellectual property, publicity or privacy rights;
- impersonate any person or entity without authorization, or create misleading deepfakes intended to deceive;
- generate content that makes false or unverified claims about health, finance, investment returns, weight loss, medical treatments or similar regulated topics;
- attempt to reverse engineer, decompile, scrape or otherwise extract the source code or underlying models of the Service;
- use the Service to train competing machine-learning models;
- resell, sublicense or redistribute the Service without a written agreement with Tasman.
We reserve the right to suspend or terminate accounts that violate these restrictions, with or without notice.
6. User Content & Generated Output
You retain ownership of the content you upload to the Service (“User Content”). By uploading User Content, you grant Tasman a worldwide, non-exclusive, royalty-free license to host, store, reproduce and process it solely to provide the Service to you.
Subject to your compliance with these Terms, Tasman assigns to you the rights to the outputs generated by the Service from your inputs (“Generated Output”), to the extent such rights can be assigned under applicable law. You are solely responsible for the Generated Output you publish and for ensuring it complies with all applicable laws and platform policies.
You represent and warrant that you have all necessary rights to the User Content you upload, including any likeness, voice, image or third-party materials used in avatars, voice clones or product placements.
7. Intellectual Property
The Service, including its software, design, trademarks, logos, documentation and underlying technology, is the exclusive property of Tasman LLC and its licensors and is protected by U.S. and international intellectual property laws. No rights are granted except as expressly stated in these Terms.
8. Third-Party Services
The Service relies on third-party providers, including cloud infrastructure, AI model providers and payment processors such as Stripe. Your use of the Service may also be subject to those providers' terms. We are not responsible for third-party services or for any loss or damage arising from their use.
9. Disclaimer of Warranties
The Service is provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability or uninterrupted operation. We do not guarantee any particular business result, marketing outcome, return on ad spend, conversion rate or income from using the Service.
10. Limitation of Liability
To the maximum extent permitted by law, Tasman LLC, its officers, employees, affiliates and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunities, arising out of or related to your use of the Service. Our total aggregate liability for any claim relating to the Service shall not exceed the amount you paid to us during the twelve (12) months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify, defend and hold harmless Tasman LLC and its affiliates from any claims, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising from your User Content, your use of the Service, your Generated Output, or your breach of these Terms.
12. Termination
We may suspend or terminate your access to the Service at any time for breach of these Terms, suspected fraud, payment failure or any conduct that we believe exposes Tasman, other users or third parties to risk or liability. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination shall survive.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms shall be submitted to the exclusive jurisdiction of the state and federal courts located in Delaware, except where mandatory consumer protection laws of your country of residence provide otherwise.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by email or through a notice on the Service at least fourteen (14) days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
